Terms & Conditions
Last updated: June 30, 2026
These Terms & Conditions ("Terms") govern your access to and use of Orate (the "Service"), operated by QB Properties LLC ("we", "us", "our"). By creating an account or using the Service, you agree to these Terms and are entering into a contract with QB Properties LLC.
1. Who we are
Orate is a service of QB Properties LLC. If you have any questions about these Terms, contact us at oqb198@yahoo.com.
2. Acceptance
By continuing to access or use the Service you confirm that you accept these Terms and agree to comply with them. You must be of legal age to form a binding contract, and if you use the Service on behalf of an organization you confirm you have authority to bind it.
3. The service
Orate lets you upload written works you own or have the right to use, and converts that text into synthetic speech ("audiobooks") using AI text-to-speech technology. Features and usage limits may vary by subscription plan.
4. Acceptable use
You agree not to misuse the Service. In particular, you must not:
- use the Service for any unlawful, fraudulent, or deceptive purpose, or to send spam;
- upload content you do not own or do not have the rights to convert or distribute;
- infringe the intellectual property or privacy rights of any person;
- generate unlawful, hateful, harassing, defamatory, or deceptive audio, including impersonation, deepfakes, or non-consensual voice cloning;
- interfere with or compromise the security or integrity of the Service, including introducing malware, probing, scraping, or circumventing technical limits.
5. AI-generated audio and your content
You are solely responsible for the text you submit, how you use the audio outputs, and for ensuring you hold all necessary rights to your input content. Synthetic narration may contain inaccuracies or mispronunciations and should not be relied upon where accuracy is critical or in place of professional advice. You retain ownership of your input content and the resulting audio, subject to your having the rights to the source material. You grant us a limited license to host and process your content solely to provide the Service.
We may remove, restrict, or refuse to generate content, and may suspend accounts, where we reasonably believe content violates these Terms or the law. Rights-holders who believe content infringes their rights may contact us at oqb198@yahoo.com to request a takedown; we may terminate the accounts of repeat infringers.
6. Intellectual property rights
Orate, including but not limited to its software, source code, algorithms, user interface, branding, trademarks, graphics, audio processing systems, text-to-speech technology integrations, features, and all related intellectual property, is and shall remain the exclusive property of Orate and its owner(s).
Users are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Service solely for its intended purpose. Users may not copy, reproduce, modify, distribute, reverse engineer, decompile, create derivative works from, sell, lease, sublicense, or otherwise exploit any portion of the Service without prior written permission.
Any unauthorized use of Orate's intellectual property is strictly prohibited and may result in legal action.
Restrictions on use
No user may copy, clone, imitate, scrape, reproduce, or develop competing products or services based on Orate's technology, functionality, business model, workflows, proprietary processes, or user experience without express written authorization.
User responsibility for content rights
Users represent and warrant that they own or have obtained all necessary rights, licenses, and permissions to upload, convert, process, or generate audio versions of any content submitted to the Service. Orate is not responsible for copyright infringement resulting from user-submitted materials.
7. Reservation of rights
The use of third-party software, artificial intelligence tools, website builders, development platforms, APIs, hosting services, or cloud infrastructure in the development of Orate shall not transfer ownership, authorship, or intellectual property rights in Orate to such providers. All resulting intellectual property remains the exclusive property of Orate and its owner, subject only to any rights expressly required by applicable law.
8. Payment and subscriptions
Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns. Payment, billing, currency, taxes, cancellation, and refund mechanics are governed by Paddle's Buyer Terms. Subscriptions renew automatically until cancelled. See our Refund Policy for details.
9. Service availability and warranties
We aim to keep the Service available but do not guarantee that it will be uninterrupted, timely, secure, or error-free. To the fullest extent permitted by law, the Service is provided "as is" and we disclaim all implied warranties, including merchantability and fitness for a particular purpose.
10. Limitation of liability
To the fullest extent permitted by law, our aggregate liability for any claim arising out of or relating to the Service is limited to the fees you paid to us in the twelve months preceding the claim. We are not liable for indirect, consequential, or special damages, including loss of profits, data, or goodwill. Nothing in these Terms excludes liability that cannot be excluded by law.
11. Suspension and termination
We may suspend or terminate your access to the Service for material breach of these Terms, non-payment, security or fraud risk, or repeated or serious policy violations. On termination your right to use the Service ends; you may request export of your content within a reasonable window before deletion.
12. Indemnity
You agree to indemnify QB Properties LLC against claims arising from your content, your unlawful use of the Service, or your violation of these Terms.
13. Governing law and changes
These Terms are governed by the laws of the jurisdiction in which QB Properties LLC is established. We may update these Terms from time to time; continued use of the Service after changes take effect constitutes acceptance.
